Intellectual Property

All methodologies, frameworks, and content provided by Mire Core Mesh remain our intellectual property unless explicitly transferred in a written engagement contract.

Consulting Engagements

Specific terms for engagements are governed by individual master service agreements and statements of work.

Limitation of Liability

The diagnostic friction points, field notes, and frameworks published on this website are offered for general informational purposes and do not constitute a clinical or organizational diagnosis of your specific workplace. To the extent permitted by law, our liability for any claim arising from an engagement is limited to the fees paid for the specific service at issue; we are not liable for indirect or consequential losses arising from process changes made on our recommendation.

Indemnification

The client organization agrees to indemnify Mire Core Mesh against claims arising from use of our proprietary protocols outside the scope of an active engagement.

Termination

Either party may end an active engagement with 14 days' written notice; fees for work already performed remain payable.

Governing Law

These Terms are governed by the laws of Japan. Disputes are addressed first through good-faith discussion before either party pursues formal proceedings.

Changes to These Terms

We may revise these Terms as our practice evolves; continued use of our website or an active engagement after a revision constitutes acceptance of the update.

Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a change in our practice's ownership, provided any active engagement commitments are honored by the assignee.

Force Majeure

Neither party is responsible for delays caused by circumstances reasonably beyond its control. The affected party will notify the other and resume performance as soon as practicable.

Entire Agreement

These Terms, together with any signed engagement agreement, constitute the entire understanding between Mire Core Mesh and the client regarding the subject matter herein.

Website Use Restrictions

You may not systematically extract or reproduce our Protocol, Field Notes, or diagnostic frameworks for use in a competing practice. Reasonable personal or internal-evaluation reading of published material is welcome.

Eligibility

Our services are offered to organizations and the adult professionals who represent them. By initiating an engagement, you confirm that you are authorized to act on behalf of your organization for the purposes of that engagement.

Waiver

Our failure to enforce any provision of these Terms on a given occasion does not waive our right to enforce it later. A waiver is only effective if made in writing.

Dispute Resolution

We prefer to resolve disagreements the way we'd help a client resolve an internal one: directly, structurally, and early. If a dispute cannot be resolved through direct discussion within 30 days, either party may pursue formal proceedings under the governing law described above.
